Terms & Conditions

These Terms and Conditions govern the use of services provided by [Company Name] (“we,” “us,” or “our”) to clients, advertisers, and users. By engaging in a Cost-Per-Lead (CPL) campaign with us or accessing our lead delivery systems, you agree to the terms set forth below.

1. Definitions

Lead: A user-submitted form containing contact and qualifying data collected through our owned or operated campaigns and landing pages.

Qualified Lead: A lead that meets all campaign requirements, including but not limited to geographic, demographic, and vertical-specific filters agreed upon before campaign launch.

CPL (Cost Per Lead): A pricing model in which advertisers are billed a set fee per qualified lead delivered.

Delivery: The transmission of lead data to the client via API, webhook, email, or secure dashboard.

2. Advertiser Responsibilities

  • Provide accurate specifications, filters, and delivery endpoints prior to campaign activation.
  • Maintain updated systems and integrations to accept lead delivery in real time.
  • Avoid misrepresentation or unauthorized redistribution of leads.
  • Notify us in writing of any technical issues, fraud concerns, or filtering changes with at least 24 hours’ notice.

3. Lead Validation & Dispute Process

  • Leads must be disputed within three (3) business days of delivery.
  • Disputable criteria include invalid contact info, duplicate entries (within campaign), or clear fraud (bot traffic).
  • Disputes must be submitted via written report with evidence (e.g., CRM screenshots, call logs).
  • All disputes are reviewed in good faith and adjudicated within 5 business days.
  • Validated disputes may be credited in the next billing cycle.

4. Compliance & Consent

  • All leads are generated through compliant methods and require user opt-in with TCPA and CCPA language displayed on each form.
  • IP address, timestamp, source URL, and consent checkbox status are recorded and stored for audit purposes.
  • You may request proof of consent for any individual lead.
  • We reserve the right to pause or terminate campaigns that raise red flags for compliance violations or excessive disputes.

5. Payment Terms

  • Invoices are issued weekly or monthly based on volume and agreement terms.
  • Payment is due within Net 7 or Net 15, depending on contract.
  • Late payments may result in campaign pause or interest penalties as allowed by law.

6. Intellectual Property

All creatives, landing pages, ad copy, and campaign data remain the intellectual property of [Company Name] unless otherwise agreed in writing.
You may not replicate or reuse our funnels, survey logic, or ad structures without written approval.

7. Termination & Suspension

Either party may terminate the agreement with 5 business days’ written notice.
We reserve the right to suspend campaigns immediately in cases of:

  • Suspected fraud
  • Reputational harm
  • Breach of compliance or failure to pay

8. Limitation of Liability

We are not liable for indirect, incidental, or consequential damages arising from campaign performance or lead outcomes.
Our total liability is limited to the fees paid for the disputed leads or services.

9. Governing Law

These terms are governed by the laws of the State of [Insert Jurisdiction] and any disputes will be resolved in its courts.

10. Updates

We reserve the right to update these Terms & Conditions at any time. Continued use of our services after changes are published constitutes acceptance of the revised terms.
